‘Start-up’ Website Design Services

1. Introduction

Welcome to WebXpress Online (a division of Spearhead Creative ABN 57 629 899 001)! These Terms and Conditions outline the rules and regulations for using WebXpress’s Web Design Services. You accept these terms and conditions by using this website and contracting our services. Only continue to use WebXpress’s services if you accept all of the terms and conditions stated on this page.

2. Services

WebXpress offers web design services, including but not limited to website creation, redesign, and maintenance. The key elements of the standard Start-up package are outlined on the website, including deliverables, timelines, and costs.

3. Payment Terms

a. Deposit: A non-refundable deposit of 50% of the total project cost is required upon acceptance of the project proposal and before any work begins.

b. Final Payment: The remaining 50% of the project cost is due before the website is launched or the final files are handed over to the client. If the final payment isn’t paid within seven days of project completion, WebXpress has the right to terminate the project (according to Clause 7 b).

4. Client Responsibilities

a. Content Supply: The client agrees to promptly provide all required content, text, images, and any other material required for the project.

b. Feedback and Approval: The client must provide feedback and approval by the project schedule. Delays in feedback may result in project delays.  If the postponement exceeds seven days, WebXpress reserves the right to terminate the project (as per Clause 7 b).

5. Project Timelines

WebXpress will make every effort to meet the project timelines outlined in the website. However, the client acknowledges that delays may occur due to unforeseen circumstances or delays in receiving the required materials from the client.

6. Revisions and Changes

a. Initial Revisions: The project includes one round of copy revisions. The proposed theme can not be altered or changed.

b. Scope Changes: Any changes to the project scope after the engagement process may incur additional costs and will be documented in a change order agreement.

7. Cancellation and Termination

a. Cancellation by Client: If the client cancels the project after the deposit is paid, regardless of before work begins, the deposit will be forfeited.

b. Termination by WebXpress: WebXpress reserves the right to terminate the project if the client fails to comply with the terms and conditions.

8. Ownership and Rights

a. Intellectual Property: Upon final payment, the client will own the website design, content, and other deliverables WebXpress provides. WebXpress retains the right to use the completed project and any preliminary designs for portfolio design and marketing.

b. Licensing: Any third-party software or resources used in the project will be subject to their respective licenses, and the client agrees to comply with those terms.

9. Warranty and Liability

a. Warranty: WebXpress provides a warranty period of 30 days after the project launch for any technical issues directly related to the web design work provided. This does not include issues caused by third-party software or client modifications.

b. Liability: WebXpress will not be liable for any indirect, special, or consequential damages arising out of or in connection with the use of the website or services provided.

10. Governing Law

These terms and conditions are governed by and construed by the laws of Queensland, Australia. You irrevocably submit to the exclusive jurisdiction of the courts in that State or location.

11. Changes to Terms and Conditions

WebXpress reserves the right to amend these terms and conditions at any time. Clients will be notified of any changes via email or through our website.
